These terms and conditions (“Terms”, “Agreement”) are an agreement between The Twisted U (“Twisted U”, “us”, “we” or “our”) and you (“User”, “you” or “your”). This Agreement sets forth the general terms and conditions of your access and use of the thetwistedu.com or twisted.com website and any of its content, functionality, products or services offered on or through any of its websites (collectively, “Website” or “Services”), as a guest.

This Website is offered and available to users who are 18 years of age or older. By using this Website, you represent and warrant that you are of legal age to form a binding contract with us and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict user access, to some parts of the Website or the entire Website.

• Ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them.

2.  Accounts. Account Security and Membership

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. If you create an account on the Website, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may, but have no obligation to, monitor and review new accounts before you may sign in and use our Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized access or use of your account, username or password or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete your account, username, password, or other identifier, whether chosen by you or provided by us (or any part thereof) at any time in our sole discretion for any or no reason, including, if we determine that you have violated any provision of this Agreement or that your conduct would tend to damage our reputation and goodwill. 

3.  Billing and Payments

You agree to pay any applicable fees or charges to your account in accordance with the terms, rates, and policies in effect at the time a fee or charge becomes due. If Services are provided on a trial basis, payment may be required once the trial period ends, which may necessitate you providing your billing information prior to the trial's commencement. If applicable in the future, auto-renewal for Services may be enabled, in which case you would be charged automatically based on the term you select. We reserve the right, at our sole discretion, to request additional information for any purchase that we deem to be of high risk, including but not limited to a valid government-issued photo ID or recent bank statement. We also reserve the right to modify product offerings, prices, or policies at any time and to limit or cancel any orders, including those associated with the same customer account, credit card, or billing/shipping address. In the event of any changes to or cancellation of an order, we may attempt to notify you using the contact information provided at the time of the order.

4.  Transfers of Personal Data

Twisted U may transfer Personal Data processed under a DPA  outside the EEA, the UK, or Switzerland as necessary to provide the Services. Customer acknowledges that our primary processing operations take place in the United States, and that the transfer of Customer’s Personal Data to the United States in some circumstances may be necessary for the provision of the Services to Customer. If Twisted U transfers Personal Data protected under a DPA to a jurisdiction for which the European Commission has not issued an adequacy decision, Twisted U will ensure that appropriate safeguards have been implemented for the transfer of Personal Data by Data Protection Laws.

5.  Accuracy of Information

Occasionally there may be information on the Website that contains typographical errors, inaccuracies or omissions that may relate to promotions and offers. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the Website or on any related Service is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information on the Website including, without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Website should be taken to indicate that all information on the Website or on any related Service has been modified or updated.

Additionally, you agree not to:

14. Limitation of liability

To the fullest extent permitted by applicable law, in no event will Twisted U its affiliates, officers, directors, employees, agents, service, providers, suppliers or licensors be liable to any party for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Website, any websites linked to it, any content on the website of such other websites for (a): any direct, indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity. loss of use, loss of data, personal injury, pain and suffering, emotional distress) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if Twisted U has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of Twisted U and its affiliates, officers, employees, agents, suppliers and licensors, relating to the services will be limited to an amount greater of one dollar or any amounts actually paid in cash by you to Twisted U for the prior one month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.

15. Indemnification

You agree to defend, indemnify and hold harmless Twisted U and its affiliates, licensors, service providers, and its and their respective directors, officers, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, losses, damages, judgments, awards, expenses, fees or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third-party allegations or your violation of these Terms or your use of the Website, including, but not limited to, your user contributions, any use of the Website's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Website.

16. Waiver and Severability

No waiver by Twisted U of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Twisted U to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.

17. Dispute Resolution

The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of Ohio, United States without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of United States. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the state and federal courts located in Ohio, United States, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

18. Changes and Amendments

We reserve the right to modify this Agreement or its policies relating to the Website or Services at any time, effective upon posting of an updated version of this Agreement on the Website in our sole discretion. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you. Continued use of the Website after any such changes shall constitute your consent to such changes.

19. Customer Listing Clause

1. a. Public Customer List Inclusion. By using our products, you agree that we may list your organization as a user of our service in our public customer list, which may be displayed on our website, marketing materials, and other promotional channels. This may include the use of your organization's name and brand logo.
2. b. Brand/Logo Usage. You grant us the right to use your organization's brand logo solely for the purpose of listing you as a customer in our public customer list.
3. c. Termination of Usage. In the event that you cease to use our product, we will cease using your organization's brand logo as soon as reasonably practicable following the date of termination.
4. d. Opt-Out Provision. If you do not wish to be listed in our public customer list or have your brand logo displayed, please contact us at hello@krazyproducts.com to opt-out.
5. e. No Endorsement Implied. The inclusion of your organization in our public customer list does not imply any endorsement or affiliation between our organizations beyond the use of our product.
6. f. Modification of Terms. We reserve the right to modify or update this clause at any time. Any changes will be notified to you via email. Your continued use of our product after such modifications constitutes your acceptance of the updated terms.

20. Acceptance of These Terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By using the Website or its Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to use or access the Website and its Services.
